Comprehensive website, platform and professional services terms governing the use of Foundry4F and its services.
These Terms and Conditions constitute the general terms governing access to and use of the Foundry4F website, digital platforms, communications, products, professional services and related resources.
The specific quotation, engagement letter or service order should identify the exact deliverables, fees, third-party charges, professional appointments, turnaround assumptions and refund terms applicable to that engagement.
1. Purpose and Acceptance
By accessing the website, submitting an enquiry, requesting a quotation, accepting a proposal, placing an order, making a payment, providing instructions, approving a document or otherwise availing the Services, you acknowledge that you have read, understood and accepted these Terms.
These Terms should be read together with the Foundry4F Privacy Policy, Refund and Cancellation Policy and any engagement-specific terms communicated to you.
2. About Foundry4F
Foundry4F is a business legal and corporate-compliance services platform supporting businesses through their lifecycle, including incorporation and setup, statutory and regulatory compliance, corporate governance, taxation and related filings, registrations and licences, intellectual-property services, business documentation, restructuring, closure and insolvency-related support.
Foundry4F may perform Services directly or coordinate Services through appropriately authorised professionals, consultants, associates, filing agents, technology providers or other service providers, depending on the nature of the engagement and applicable law.
3. Definitions
“Foundry4F”, “we”, “us” and “our” mean the business operating under the Foundry4F name. “Client”, “you” and “your” mean the person or legal entity that requests, purchases or uses a Service.
“Services” means the particular services expressly accepted by Foundry4F. “Government Authority” includes a ministry, department, regulator, registry, tax authority, local authority, tribunal, court, intellectual-property office or other public body.
4. Contract Formation and Order of Documents
A website description, advertisement, indicative price or preliminary communication does not by itself constitute an offer to provide Services.
An engagement may arise when Foundry4F accepts an order, confirms a proposal or quotation, receives an agreed payment and begins work, or otherwise confirms the engagement in writing.
For a particular engagement, these Terms shall be read together with the applicable quotation, proposal, order form, invoice, engagement letter, statement of work, service package, refund/cancellation policy and other written terms expressly incorporated into the engagement.
5. Eligibility, Authority and Capacity
You represent that you have the legal capacity to enter into a binding arrangement.
If you engage Foundry4F for a company, LLP, partnership, trust, society, NGO, startup or other organisation, you represent that you are duly authorised to do so.
Foundry4F may request evidence of authority, beneficial ownership, identity or corporate authorisation before starting or continuing an engagement.
6. Nature of Professional Services
Foundry4F may provide business legal-compliance support, document preparation, filing support, regulatory coordination and related professional services.
General website content is informational and does not constitute a matter-specific legal, tax, accounting, financial, investment or other professional opinion.
Where a matter requires a person holding a statutory licence, enrolment, appointment or professional authorisation, such work will be undertaken only through an appropriately authorised professional, where required by applicable law.
7. Client Information, KYC and Due Diligence
You must provide accurate, complete, authentic and current information and documents reasonably required for the Services, including identity documents, PAN, GSTIN, corporate records, address proofs, ownership information, financial information, signatures, declarations and authorisations.
Foundry4F may conduct reasonable verification, fraud-prevention, anti-money-laundering, sanctions, conflict and risk checks and may request additional information.
8. Client Responsibility for Accuracy
The Client is responsible for the accuracy, completeness and legality of all information and documents supplied to Foundry4F.
Foundry4F may rely on such information without independently verifying every factual assertion unless verification is expressly included in the scope.
9. Client Cooperation and Approvals
The Client must provide documents, clarifications, signatures, OTPs, authorisations, access, approvals and other cooperation within the time reasonably requested.
The Client should carefully review all drafts, forms, filings, declarations, returns and applications before authorising submission.
10. Scope of Services and Exclusions
Only the work expressly included in the applicable engagement is covered by the agreed fee.
A service description on the website should not be interpreted as including every related filing, hearing, objection, appeal, inspection, representation, historical clean-up, translation, notarisation, apostille, courier, physical visit, additional entity, additional class or additional application.
Additional work arising from changed facts, additional authorities, rejected filings, objections, hearings, appeals, new applications, historical non-compliance or material changes requested by the Client may require a separate quotation.
11. Timelines and Dependencies
Any date or turnaround time stated by Foundry4F is an estimate unless expressly described in writing as a fixed contractual deadline.
Completion may depend upon Client responses, document readiness, professional review, Government Authorities, payment providers, banks, intellectual-property offices, third-party vendors, portal availability and other external factors.
12. Government Fees, Taxes and Third-Party Charges
Professional fees are separate from government fees, statutory charges, stamp duty, registration charges, licence fees, filing fees, digital-signature costs, courier charges, notarisation, translation, professional fees payable to independent specialists and other third-party costs unless the quotation expressly states that an item is included.
13. GST and Invoicing
Applicable Goods and Services Tax and other taxes will be charged in accordance with law.
The Client is responsible for providing accurate legal name, address and GSTIN details at the time reasonably required for invoicing.
14. Payment Terms
Payments must be made through payment methods or bank details officially communicated by Foundry4F.
Foundry4F may require an advance, milestone payment or full payment before beginning or continuing a Service, depending on the engagement.
15. Pricing, Quotes and Changes in Scope
Quotations and package prices are based on the facts and requirements known at the time of quotation and may specify a validity period.
If the Client requests additional work or the facts of the matter materially change, Foundry4F may issue a revised quote or additional invoice.
16. Government Portals, Authorities and External Decisions
Foundry4F does not control the availability, performance, processing time, technical operation, security, requirements or decisions of Government Authorities or other third parties.
Portal outages, technical failures, changes in forms or processes, additional information requests, inspections, objections, government backlogs and changes in law may delay or alter the Service.
17. Rejection, Deficiency, Objection and Resubmission
A Government Authority or other third party may reject, return, mark deficient, object to or seek clarification on an application or filing.
Where reasonable resubmission or correction is included within the purchased Service, Foundry4F may assist within that scope.
Fresh applications, hearings, appeals, material changes, repeated rework caused by Client errors or professional representation not included in the original scope may require additional fees.
18. Incorporation and Business Registration Services
For incorporation and registration Services, the Client is responsible for lawful and accurate information concerning proposed names, directors, partners, shareholders, ownership, capital, registered office, business activities and supporting documents.
Name approval, incorporation, licensing, registrations and certificates are subject to the relevant authority's rules, availability, verification and discretion.
19. Digital Signatures and Electronic Authentication
Where the Services involve digital-signature certificates, e-signatures, OTPs, Aadhaar/PAN-based verification, video KYC or similar authentication, the Client must personally complete the required verification and safeguard the relevant credentials.
20. Company, LLP and Corporate Compliance
The scope of company, LLP and corporate compliance Services will be limited to the filings, records, forms, meetings, resolutions, registers, changes and other deliverables expressly included in the engagement.
The Client must promptly inform Foundry4F of events that may trigger additional compliance, including changes in directors, partners, shareholders, registered office, capital, beneficial ownership, management, business activities, charges, related-party arrangements or other material corporate events.
21. Tax, GST, TDS, Payroll and Compliance Services
Tax, GST, TDS, payroll and related compliance Services depend upon complete and accurate accounting records, invoices, bank statements, payroll data, reconciliations, tax registrations, deductions and other information supplied by the Client.
Unless expressly included, audit, tax audit, certification, representation before an authority, litigation and complex historical remediation are separate services.
22. Intellectual Property Services
Trademark, patent, copyright, design, geographical indication and other intellectual-property Services are subject to the law and procedures of the relevant authority.
Foundry4F does not guarantee availability, registration, grant, renewal, opposition outcome, objection outcome or enforcement result.
23. IP Objections, Hearings, Oppositions and Appeals
Examination reports, objections, show-cause notices, hearings, oppositions, rectifications, renewals, restorations and appeals may require additional professional work and may be governed by separate fees unless expressly included in the engagement.
24. Licences, Registrations and Renewals
Government and regulatory licences may carry conditions, inspections, renewals and continuing obligations.
Unless expressly included, ongoing post-registration compliance, periodic renewal, inspection response and amendments are separate Services.
25. Accounting, Audit, Certification and Independent Professionals
Independent statutory audits, tax audits, certifications, valuations, secretarial audits, legal opinions and other regulated professional engagements are separate matters unless expressly included.
26. Restructuring, Closure and Winding-Up
Restructuring, strike-off, dissolution, winding-up and closure depend on the entity's corporate status, assets, liabilities, tax position, employees, contracts, disputes, pending filings and other facts.
The Client must disclose all material liabilities, claims, proceedings, creditors, receivables, assets and regulatory matters.
27. Insolvency and Distressed Business Services
Insolvency matters may involve the Insolvency and Bankruptcy Code, courts, tribunals, creditors and regulated insolvency professionals.
Where a matter requires an insolvency professional, advocate, registered valuer or other regulated person, that person must act in accordance with their independent statutory and professional obligations.
28. Foreign / Cross-Border Services
For services involving a foreign jurisdiction, local corporate, tax, exchange-control, sanctions, licensing, data-protection and professional requirements may apply.
29. Documents, Drafts, Filing and Approval
Foundry4F may prepare or coordinate forms, applications, agreements, resolutions, returns, declarations, reports or other documents according to the agreed scope.
The Client must review and verify all material particulars before submission when approval is requested.
30. Client Portal, Accounts and Credentials
Where a Foundry4F account, portal or dashboard is provided, the Client is responsible for safeguarding login credentials, OTPs, passwords and authorised devices.
31. Acceptable Use and Platform Conduct
You must not use the website or Resources to commit or facilitate unlawful activity, fraud, impersonation, harassment, infringement, unauthorised access, malicious activity or interference with the website, servers, networks or third-party systems.
32. User-Generated Content
Where comments, reviews, forms, messages, uploads or other user-generated content are enabled, you must not submit unlawful, deceptive, defamatory, threatening, abusive, infringing, confidential third-party or malicious content.
33. Foundry4F Intellectual Property
The Foundry4F name, logo, trademarks, website design, text, graphics, templates, software, databases, methods and other materials are owned by or licensed to Foundry4F and protected by applicable law.
34. Confidentiality
Each party shall use reasonable care to protect confidential information received from the other party in connection with an engagement and shall use such information only for legitimate purposes connected with the engagement.
35. Privacy and Personal Data
Personal information is processed in accordance with the Foundry4F Privacy Policy and applicable data-protection law.
Certain Services necessarily require the processing or disclosure of personal and business information to Government Authorities, payment processors, professional advisers, technology providers and other authorised recipients to the extent permitted or required by law.
36. Third-Party Providers and Links
Foundry4F may use payment gateways, cloud and hosting providers, email and communication providers, filing agents, professional associates, couriers, analytics providers, banks and other third parties to provide or support the Services.
37. Electronic Communications and Records
The parties may communicate through email, portals, telephone, messaging platforms, electronic forms and other agreed channels.
38. Website Availability and Security
Foundry4F will take reasonable measures to operate and secure the website and its systems, but no online service can be guaranteed to be continuously available or completely secure.
39. Accuracy of Website Content
Foundry4F intends to keep its website and informational Resources useful and current, but laws, regulations, government forms, fees, processes and administrative practices can change.
Nothing on the website should be treated as a substitute for advice based on the Client's specific facts and current law.
40. No Guarantee of Outcome
Foundry4F will use reasonable professional efforts within the agreed scope, but cannot guarantee the approval, registration, grant, licence, tax result, refund, bank account, financing, government action, judicial outcome, IP registration, regulatory clearance, recovery, restructuring outcome or commercial success of a Client.
41. Suspension, Refusal and Termination
Foundry4F may suspend, refuse or terminate a Service where there is non-payment, material breach, fraud concern, unlawful instruction, failure to complete KYC, abusive conduct, security risk, professional conflict, legal restriction or another reasonable ground affecting the engagement.
42. Client Cancellation
A Client may request cancellation in accordance with the applicable Refund and Cancellation Policy and the specific engagement.
Where work has already commenced, Foundry4F may retain or invoice the portion attributable to work performed and non-recoverable costs, subject to applicable law.
43. Refunds and Service Credits
Refunds are governed by the applicable Refund and Cancellation Policy and the specific engagement.
Government fees, third-party charges, completed professional work, delivered consultations, filed applications and other non-recoverable costs may be non-refundable to the extent permitted by law.
44. Chargebacks and Payment Disputes
If a payment is reversed, dishonoured or charged back without a valid basis, the Client remains responsible for amounts properly due for Services performed, together with reasonable costs directly arising from the payment reversal, subject to applicable law.
45. Consumer and Mandatory Statutory Rights
Nothing in these Terms is intended to exclude, restrict or waive a right, remedy, warranty or protection that applicable law makes mandatory or non-excludable.
46. Disclaimer of Warranties
To the maximum extent permitted by law, the website and general Resources are provided on an “as is” and “as available” basis.
47. Limitation of Liability
To the maximum extent permitted by applicable law, Foundry4F shall not be liable for indirect, incidental, special, consequential or punitive loss, loss of profits, business interruption, loss of goodwill, loss of opportunity or losses caused by third-party actions, Government Authorities, Client information, portal failures or events outside reasonable control.
48. Indemnity
To the extent permitted by applicable law, the Client shall indemnify and hold harmless Foundry4F and its directors, officers, employees, authorised professionals and service providers against claims, losses, reasonable costs and expenses arising from the Client's unlawful conduct, fraud, wilful misconduct, breach of these Terms, infringement of third-party rights or materially inaccurate or unauthorised information supplied by the Client.
49. Force Majeure
Foundry4F will not be responsible for delay or failure caused by circumstances beyond reasonable control, including Government Authority action, change in law, court or regulatory orders, portal failure, internet or telecommunications outages, cyber incidents, natural disasters, fire, flood, epidemic, war, civil disturbance, strikes, utility failure, bank or payment system outages or similar events.
50. Complaints and Grievances
Service complaints should be submitted using the contact details below, preferably with the order number, invoice, service name and relevant correspondence.
51. Notices
Contractual or operational notices may be delivered by email, portal notification, courier, registered post, messaging platform or other agreed electronic means using the contact details maintained for the Client.
52. Assignment and Subcontracting
The Client may not assign or transfer its rights or obligations under an engagement without Foundry4F's written consent, except where applicable law permits otherwise.
Foundry4F may engage affiliates, associates, professional advisers and service providers to perform portions of the Services, subject to applicable law and contractual obligations.
53. Governing Law and Jurisdiction
These Terms are governed by the laws of India, subject to any mandatory law that applies to the relevant Client or transaction.
Subject to mandatory statutory or consumer jurisdiction rules, disputes arising out of the Services or these Terms shall be subject to the courts having appropriate jurisdiction in or around Noida, Uttar Pradesh, India.
54. Dispute Resolution
The parties shall first attempt in good faith to resolve a service or billing dispute through written communication with Foundry4F.
55. Severability
If any provision of these Terms is held invalid, unlawful or unenforceable, it shall be modified or severed only to the minimum extent necessary, and the remaining provisions shall continue in effect.
56. Waiver
A failure or delay by Foundry4F to enforce a provision or exercise a right does not constitute a waiver.
57. Entire Agreement
These Terms, the applicable quotation or engagement document and any policy expressly incorporated into the engagement constitute the agreement governing the relevant Services, subject to any separately signed agreement that expressly overrides them.
58. Survival
Provisions concerning payment, confidentiality, intellectual property, privacy, liability, indemnity, dispute resolution, governing law, records and other provisions that by their nature should survive shall continue after completion or termination to the extent permitted by law.
59. Changes to these Terms
Foundry4F may update these Terms from time to time to reflect changes in Services, technology, business practices or law. Updated Terms will be posted with a revised Last Updated date.
60. Electronic Acceptance
To the extent permitted by applicable law, acceptance may be evidenced by an electronic checkbox, click acceptance, digital signature, email confirmation, online order, payment after receipt of the Terms, or continued use of the Services after the Terms are made available.

Schedule 1 — Service-Specific Commercial Terms
The applicable quotation or engagement should identify the following commercial details for each service:
- Exact service name and entity / jurisdiction covered.
- Specific forms, documents, filings, consultations, submissions, renewals or coordination included.
- Number of entities, applications, classes, directors/partners, filings or revisions included.
- Government and third-party costs and whether payable separately.
- Professional fees of advocates, CAs, CSs, auditors, insolvency professionals, valuers or other specialists, where applicable.
- Client inputs including KYC, records, signatures, financial data, authorisations, OTPs, portal access and approvals.
- Foundry4F processing estimate and separate external/government dependency.
- Statement that approvals, registrations, grants and third-party decisions are not guaranteed unless expressly promised.
- Additional work including objections, hearings, appeals, resubmissions, historical compliance, urgent work and material scope changes.
- Renewal / continuing compliance period and whether future years require a separate order.
- Applicable cancellation window and treatment of completed work and third-party costs.
